SoundDrop is a modular system with specific modules (or books) offering different product features. Subscription charges are based upon which modules are available to you/selected by you, the customer.

The introductory period or 14 Day Free Trial, begins the moment that you confirm your acceptance of the Trial Offer advertised, by submitting valid payment details that are accepted by SoundDrop.

By submitting your payment details, you (i) confirm your acceptance of the Free 14 Day Trial and (ii) accept and agree to these Free Trial Offer Terms (iii) accept and agree to make the agreed subscription payments on time, at the end of the Free 14 Day Trial period.

In order to be eligible for the Free Trial, users must satisfy all of the following conditions (each an "Eligible User"):

Eligible User

1. You must be a new subscriber and not have subscribed to SoundDrop in the past
2. You must provide SoundDrop with valid and current payment methods/details
3. You must agree that the free trial period is for 14 days on submission of valid payment method/details
4. You must understand that once the Free Trial Period of 14 days completes that you automatically become a recurring subscriber to SoundDrop at the agreed price plus VAT
5. You understand that SoundDrop is not responsible for the accuracy of pricing, availability or any other content detail and that SoundDrop is only as accurate as the supplier information it receives
6. The figures for pricing, vat, or savings displayed on SoundDrop are for representation purposes only and may not be exact

Duration and Cancellation: In the case of any Promotional Offer, the corresponding Promotional Period shall continue for the period as advertised, i.e. 14 days.

Unless you cancel the Free Trial before the end of the Promotional Period (14 days), you will automatically become a recurring subscriber to SoundDrop.

If you cancel the Free Trial during the Promotional Period, you will lose access to SoundDrop.

Service Limitations and Modifications: SoundDrop has no liability to you, nor any obligation to provide a refund to you, in connection with internet or other service outages or failures that are caused by the actions of government authorities, other third parties or events beyond our control.

Creating a SoundDrop account: Upon agreeing to the free Trial of SoundDrop, you will be issued with your own username and details. Your username and password are for your use only and should be kept confidential. You understand that you are responsible for all use (including any unauthorised use) of your username and password. Notify our Customer Service team immediately if your username or password is lost or stolen, or if you believe there has been unauthorized access to your account.

Your rights to use the SoundDrop Service: Subject to your compliance with these Terms (including any other applicable terms and conditions), we grant to you limited, non-exclusive, revocable permission to make use of the SoundDrop Service and the Content (collectively, "Access"). This Access shall remain in effect unless and until terminated by you or SoundDrop. You agree that you will not redistribute or transfer the SoundDrop Service or the Content.

The SoundDrop software applications are licensed, not sold or transferred to you, and SoundDrop retain ownership of all copies of the SoundDrop software applications even after installation on your Devices.

Billing: You may purchase a Paid Subscription directly from SoundDrop by paying a subscription fee in advance on a monthly basis or some other recurring interval disclosed to you prior to your purchase.

Tax (VAT) rates are calculated based on the information you provide and the applicable rate at the time of your monthly charge.

Price and tax changes: SoundDrop may from time to time change the price for the Paid Subscriptions, including recurring subscription fees, the Pre-Paid Period (for periods not yet paid), and will communicate any price changes to you in advance on reasonable notice. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, by continuing to use the SoundDrop Service after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by unsubscribing from the applicable Paid Subscription prior to the price change going into effect.

Tax (VAT) rates are based on the rates applicable at the time of your monthly charge.

Renewal and Cancellation: With the exception of Paid Subscriptions for a Pre-Paid Period, your payment to SoundDrop, the Paid Subscription will automatically renew at the end of the applicable subscription period, unless you cancel your Paid Subscription before the end of the then-current subscription period.

Withdrawal: If you sign up for a Trial, you agree that the withdrawal right for the Paid Subscription for which you are receiving a Trial ends fourteen (14) days after you start the Trial. If you don't cancel the Paid Subscription before the Trial ends, you lose your right of withdrawal and authorise SoundDrop to automatically charge you the agreed price each month until you cancel the Paid Subscription. For trials less than fourteen (14) days, you expressly consent to us providing you with the paid service immediately after the end of your Trial and that from that point you lose your right of withdrawal.

Context: SoundDrop users may use all modules available to that user, including searching for product, comparing product data, ordering product data and creating export files of ordered data.

SoundDrop is not responsible for the accuracy of all data or any missing data, neither is it responsible for any price deviations from the price set by the suppliers on the files received into SoundDrop. All prices are indicative as they relate to the files that are received from suppliers and may be out of date by the time an order is submitted. Users understand that any errors or anomalies in the data, that result in any decision making that incurs a loss or a detrimental position, is not the responsibility of SoundDrop. SoundDrop is only as good as the information it receives. Users are encouraged to contact the suppliers direct if they require confirmation of prices or availability.

Monitoring content: SoundDrop may, but has no obligation to, monitor or review Content. SoundDrop reserves the right to remove or disable access to any Content for any or no reason. SoundDrop may take these actions without prior notification to you.

Suspending and terminating the SoundDrop Services: These Terms will continue to apply to you until terminated by either you or SoundDrop. SoundDrop may terminate these Terms (including any additional terms and conditions incorporated herein) or suspend your access to the SoundDrop system at any time, if we believe you have breached any of these Terms.

Third Party Rights: You acknowledge and agree that the owners of the Content and certain distributors are intended beneficiaries of these Terms and have the right to enforce these Terms directly against you. Other than as set out in this section, these Terms are not intended to grant rights to anyone except you and SoundDrop, and in no event shall these Terms create any third-party beneficiary rights.

Indemnification: You agree to indemnify and hold SoundDrop harmless from and against any reasonably foreseeable direct losses, damages, and reasonable expenses (including reasonable fees and costs) suffered or incurred by SoundDrop.
